Agency Boost – Terms of Service

Agency Boost LLC ("Agency Boost," "we," "us," or "our")

These Terms of Service ("Terms") set out the conditions under which you may access and use the websites, online platforms, programs, coaching, consulting, and related offerings made available by Agency Boost LLC (collectively, the "Services"). They apply to every visitor, registered user, and enrolled client, except where a signed or electronically accepted Master Services Agreement ("Agreement") covers the same subject matter. Where these Terms and an Agreement conflict, the Agreement prevails.

By visiting, accessing, or otherwise using any part of the Services, you confirm that you have read these Terms and agree to be bound by them. If you do not accept them, please discontinue use of the Services right away.

1. Definitions and Reading of These Terms

For clarity, the following words carry the meanings below wherever they appear:

• "Services" refers to all coaching, consulting, instruction, digital products, materials, software environments, communication channels, and supporting resources delivered by Agency Boost.
• "Materials" refers to everything we make available in connection with the Services, including recordings, standard operating procedures, frameworks, scripts, templates, written documents, systems, community contributions, and our proprietary methodologies.
• "Client" refers to any person or company that accesses or uses the Services.
• "Platform" refers to the third-party and proprietary tools used to deliver the Services, which may include video conferencing, community software, messaging applications, and similar systems.
• "Agreement" refers to the Master Services Agreement signed or electronically accepted by a Client.

Section titles are included only to make the document easier to navigate and do not affect how any provision is interpreted.

2. Order of Precedence and Reliance

2.1 The Agreement Governs.

When a Client is enrolled in a program covered by an Agreement, the terms of that Agreement take priority over and supersede:

• these Terms;
• any fulfillment, refund, or privacy policy;
• any language published on our website;
• any statements made during webinars, presentations, or sales conversations; and
• any other verbal or written representation made by our team members or contractors.

2.2 Entire Understanding.

You acknowledge that your decision to purchase or use the Services is based solely on the Agreement and these Terms, and not on any outside promise, projection, earnings figure, or assurance of any kind.

2.3 Confirmation at Purchase.

By using the Services or submitting payment, you represent that you are at least eighteen years of age, have the legal authority to enter into a binding contract, accept all policies referenced here, and understand that your electronic acceptance has the same effect as a handwritten signature.

3. Intellectual Property

3.1 Ownership.

All Materials are the exclusive property of Agency Boost and are protected under applicable copyright, trademark, and trade secret law.

3.2 Scope of License.

Subject to your continued compliance with these Terms, we grant you a personal, limited, revocable, and non-transferable license to use the Materials only within your own business. You may not:

• copy, sell, license, or otherwise distribute the Materials;
• build derivative works, courses, or competing programs from them;
• share your login or access credentials with anyone else; or
• continue using any Materials once your access ends.

3.3 Equitable Remedies.

You agree that any unauthorized use of the Materials would cause harm that money alone cannot repair, and that we are entitled to seek injunctive or other equitable relief without the need to post a bond.

4. Delivery of Services and Your Obligations

4.1 Availability.

We do not promise that the Services, Platforms, calls, staff, or Materials will be available without interruption, and schedules, formats, and personnel may change from time to time.

4.2 Your Responsibilities.

Results depend heavily on your own participation. You are solely responsible for:

• executing the strategies provided and completing assigned work;
• showing up to scheduled coaching sessions;
• keeping accurate business, financial, and CRM records;
• committing sufficient time, staffing, and budget to the work;
• complying with all laws and advertising regulations that apply to your business; and
• conducting yourself lawfully and professionally throughout.

Choosing not to participate does not relieve you of any payment obligation.

4.3 Standards of Conduct.

You agree that you will not harass, threaten, or mistreat our team or other clients; post unlawful, defamatory, infringing, or harmful content; disrupt group sessions or communities; or breach the confidentiality of other clients. We may revoke access, without refund, for any violation of this section.

5. Educational Nature of the Services and Required Disclosures

5.1 Guidance Only.

Everything we provide is educational and strategic in nature. Nothing we share constitutes legal, financial, tax, investment, accounting, medical, employment, or franchise advice. You are responsible for consulting your own qualified advisors before acting.

5.2 No Guarantee of Results.

You expressly understand and agree that:

• we make no guarantee of any specific revenue, profit, business valuation, or outcome;
• any testimonials or examples reflect above-average results and should not be treated as typical; and
• your results will depend on factors including your effort, your market, your staffing, your advertising budget, the strength of your offer, and other conditions beyond our control.

Agency Boost is not a business opportunity, franchise, or employment arrangement of any kind.

6. Fees, Refunds, and Payment Disputes

6.1 Authorization to Charge.

You authorize Agency Boost and its payment processors to charge your designated payment method for all amounts owed under your Agreement.

6.2 Refunds.

Refunds are available only as expressly stated in your Agreement. Outside of those terms, all payments are final, non-cancellable, and non-refundable.

6.3 No Wrongful Chargebacks.

You agree not to initiate a chargeback, payment reversal, or dispute except where the law requires it. Filing a chargeback in violation of this section is a material breach of these Terms and may result in:

• immediate suspension or termination of your access;
• an administrative fee equal to the greater of $500 or 10% of the disputed amount;
• recovery of processor fees, attorneys' fees, and any resulting damages; and
• submission of your account records and service logs to the relevant financial institutions as evidence.

7. Indemnification

You agree to defend, indemnify, and hold harmless Agency Boost and its owners, staff, and contractors from and against any claim, demand, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of or connected to:

• your use or misuse of the Services;
• your own marketing, advertising claims, or compliance shortfalls;
• any violation by you of FTC rules, the TCPA, CAN-SPAM, GDPR, CCPA, or comparable regulations;
• claims brought against you by your own customers or clients; or
• any breach by you of these Terms or your Agreement.

8. Limitation of Liability

To the maximum extent the law allows:

• Agency Boost will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages;
• our total combined liability for any claim is capped at the amount you actually paid under the applicable Agreement; and
• we are not responsible for Platform downtime, third-party software failures, lost profits, lost business, harm to reputation, or other economic losses.

9. Non-Disparagement

You agree not to make or publish any false, misleading, or defamatory statement about Agency Boost, its team, its programs, or its clients, whether through online reviews, social media, public forums, private groups, or any other channel. This commitment continues to apply indefinitely after your relationship with us ends.

10. Suspension and Termination

We may suspend or end your access to the Services immediately if you breach these Terms or your Agreement, miss a payment or dispute a charge, mistreat our team or community, or use the Materials beyond the license granted to you. Once your access ends, you must stop using all Materials.

11. Changes to These Terms

We may revise these Terms at any time. Revisions take effect when posted, and your continued use of the Services after that point means you accept the updated version.

12. Assignment

You may not transfer or assign your rights or obligations under these Terms without our written consent. We may assign ours to a successor, affiliate, or acquiring party.

13. Severability and No Waiver

If any part of these Terms is held to be invalid or unenforceable, the rest remains in full force. Our decision not to enforce a right on any occasion does not waive our ability to enforce it later.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or the Services will be resolved exclusively by binding arbitration seated in Miami-Dade County, Florida. To the fullest extent permitted by law, you and Agency Boost each waive any right to a jury trial and to participate in any class or collective action.
